Formation of private limited company (Hong Kong)
Outline The law governing Hong Kong companies is Companies Ordinance. There is no statutory requirement for residential status to establish a company in Hong Kong.
Company Name
Company name may be in English, Chinese or both. The name must not be the same as the existing company and must end with "Limited" or "有限公司". The company may be incorporated with your preferred name. Alternatively, "shelf company" with full set of documents is available for selection.
Memorandum and Articles of Association
Memorandum of Association lists the details of the company's constitution whereas Articles of Association lists the details of rules for company's internal affairs for administration.
Directors, Company Secretary and Shareholders
At least one director (corporate or individual) must be appointed. There is no statutory requirement for director's residence or nationality. The individual director must be at least 18 years of age. The company must appoint a company secretary. For individual, he/she must be ordinarily resident in Hong Kong. For corporate, the company must have its registered office in Hong Kong. The company must have at least one shareholder. There is no statutory requirement for shareholder's residence or nationality.
Share Capital
Authorised share capital is stated in Memorandum of Association. There is no requirement that all shares shall be issued. At least one share is issued.
Registered Office
The company must have a registered office in Hong Kong.
Business Registration Certificate
